1. Agreement to Terms
By accessing or using Eligiflow's dental insurance eligibility verification services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Eligiflow provides a platform that enables dental practices to verify patient insurance eligibility by querying insurance carrier portals and retrieving benefits information. The Service acts as an intermediary to facilitate access to publicly or commercially available insurance information.
Important Limitation
Eligiflow does not guarantee the accuracy, completeness, or timeliness of eligibility information returned by insurance carriers. Carrier systems may contain errors, outdated information, or incomplete data. You should always verify critical information directly with the insurance carrier.
3. Customer Responsibilities
Customer, not Eligiflow, shall have sole responsibility for:
- The accuracy, quality, integrity, and legality of all data submitted to the Service
- Obtaining all necessary consents and authorizations to access patient insurance information
- Compliance with all applicable laws, including healthcare privacy regulations (HIPAA, state laws)
- The means by which you acquired patient data
- Any decisions made based on eligibility information retrieved through the Service
- Verifying eligibility results before providing treatment or submitting claims
- Maintaining the confidentiality of your account credentials
4. Service "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Eligiflow does not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time
- Eligibility results will be accurate, complete, or current
- Any errors or defects will be corrected
- The Service will meet your specific requirements
5. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELIGIFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or unauthorized access to your data
- Claim denials or payment disputes with insurance carriers
- Incorrect treatment decisions based on eligibility information
- Any third-party claims arising from your use of the Service
IN NO EVENT SHALL ELIGIFLOW'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO ELIGIFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Eligibility Disputes
Eligiflow is not responsible for disputes concerning:
- Payment of claims by insurance carriers
- Eligibility status of any patient
- Benefits coverage or exclusions
- Discrepancies between retrieved information and actual coverage
- Changes to patient eligibility after verification
Such disputes must be resolved directly between you and the relevant insurance carrier. Eligiflow has no obligation to participate in or resolve such disputes.
7. Indemnification
You agree to indemnify, defend, and hold harmless Eligiflow and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any claim that your use of the Service infringed the rights of a third party
- Any patient data you process through the Service
8. Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring that insurance portal credentials you provide are legitimately obtained
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to insurance carrier systems
- Submit false or misleading information
- Resell or redistribute the Service without authorization
- Interfere with or disrupt the Service
- Use the Service to collect information about patients without proper authorization
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance
- Insurance carrier system outages or changes
- Technical issues beyond our control
We are not liable for any damages resulting from service interruptions.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Service will immediately cease
- We may delete your account data after a reasonable retention period
- Provisions of these Terms that should survive termination will remain in effect
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
